User License Agreement


User License Agreement - Last revised: February 1, 2011

 

PLEASE READ THESE TERMS OF USE CAREFULLY, AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES.

 

This License Agreement is a legal agreement between you (“LICENSEE”) (either an individual or a single entity) and Northwest Technical Inc./ DinerMagic for the non-exclusive use of DinerMagic, which includes access to your custom website, the DinerMagic website and online documentation.  By subscribing or otherwise using the Service, you agree to be bound by the terms of this Agreement.  If you do not agree to the terms of this Agreement, do not subscribe or begin using the service.  This Service is licensed to you, not sold.

 

1. END-USER LICENSE

 

Subject to payment of applicable license fees Northwest Technical Inc./DinerMagic grants a non-exclusive and non-transferable license (without the ability to sublicense). You may make use of the service as often as you wish, from any PC and from any location, as long as your subscription is active.

 

2. AFFILIATE PROGRAM

 

If you are a general or specialty food or beverage services provider, and are interested in offering DinerMagic and/or its' setup and maintenance as a service for your restaurant customers, please read the DinerMagic Affiliate Agreement in this DinerMagic website or contact us if you have any questions our Affiliate program.

 

3. SERVICE EVALUATION

 

The customer is encouraged to read the FAQs and/or view the online videos before subscribing, in order to determine if DinerMagic fits your needs.

 

4. LICENSE TRANSFER

 

You may permanently transfer all of your rights under this Agreement, provided you notify us in writing before you make your transfer.  We will put a hold on your account until we receive the recipient’s new username, password and updated account information.  By agreeing to this transfer, the recipient agrees to the terms of this Agreement, . The transfer is subject to a small account transfer fee to be charged to the new account holder.

 

5. RESTRICTIONS

 

You may not reverse engineer, decompile, or disassemble any software (except to the extent applicable laws specifically prohibit such restriction). You may not redistribute, rent, lease, or lend the use of this service.  You may not give your username or password to any unauthorized person…

 

6. TERM , TERMINATION & RENEWAL

 

By subscribing to and making the initial payment for a DinerMagic license, you agree with and accept all of the terms of this agreement.  You also agree to subscribe for a minimum service term of 12-months.  If you terminate your service before the minimum term, you may be subject to an early termination fee of 50% of the amount due for the remaining months, unless the reason for termination is the closing of your restaurant business.  Northwest Technical Inc./DinerMagic may also terminate this Agreement if you fail to comply with the terms and conditions of this Agreement. On termination, you will no longer be able to access your DinerMagic account or your DinerMagic website.

 

Renewal.  Your subscription will automatically renew on a month-to-month basis.  If you decide not to renew after the minimum one-year term, we must receive your cancellation notice in writing with a minimum 30-day notice in advance from the actual termination date when your website will be taken offline.   If we are the registrar for your domain, your annual domain name registrations will also be automatically renewed for you, if we receive your DinerMagic subscription payment during the month that the domain is scheduled to expire.  You will be sent a receipt for this charge via email.

 

7. WARRANTY DISCLAIMER

 

The service is provided on an “as is” basis, without warranty of any kind, including without limitation the warranties of merchantability, fitness for a particular purpose and non-infringement.  Northwest Technical Inc./DinerMagic does not warrant that DinerMagic will meet LICENSEE specific requirements, nor does it warrant that the operation of the program or service be error-free.

 

8. LIMITATION OF LIABILITY

 

Under no circumstances and under no legal theory, tort, contract, or otherwise, shall Northwest Technical inc./DinerMagic or its suppliers or resellers be liable to you or any other person for any indirect, special, incidental, or consequential damages of any character including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any and all other commercial damages or losses even if Northwest Technical Inc./DinerMagic has been advised of the possibility of such damages. In no event shall Northwest Technical Inc./DinerMagic’s total liability for any damages or losses exceed the amount received by Northwest Technical Inc./DinerMagic from licensee for a license to use the software. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so this limitation and exclusion may not apply to you.

 

9. COPYRIGHT AND OWNERSHIP

 

DinerMagic is owned by Northwest Technical Inc. and is presently in patent pending status.  It is protected by copyright laws and international treaty provisions. If you are the subscriber and end-user, you acquire only the non-exclusive right to use the Service as permitted herein and do not acquire any rights of ownership in the Service.
